Terms of Service

1. Acceptance of Terms

By creating an account, downloading, or using Mozi ("the Service"), including the desktop application and trymozi.com website, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use Mozi. If you are between 13 and 18 years of age, you must have the consent of a parent or legal guardian to use the Service. By using Mozi, you represent and warrant that you meet these eligibility requirements.

3. Description of Service

Mozi is an AI-powered copilot for Ableton Live. It helps you create music by generating MIDI patterns, adjusting parameters, and managing your Live Set through natural language commands. The desktop application runs on your computer and communicates with Ableton Live locally. When you submit a prompt, your text and project state metadata are transmitted to our cloud servers and processed using third-party AI services (currently OpenAI) to generate responses. The Service includes the desktop application, cloud AI processing, and subscription management.

4. Account Registration

You must create an account to download and use Mozi. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account. You agree to notify us immediately of any unauthorized use of your account.

5. Your Content

Your Ableton Live project files, audio files, rendered MIDI data, and all creative work remain entirely yours. We do not claim any ownership or rights over your music or project files. When you use Mozi, project state metadata (such as track names, tempo, key, and arrangement structure) is transmitted to our servers for AI processing as described in our Privacy Policy, but we do not claim ownership of this data.

6. AI-Generated Output

Mozi uses artificial intelligence to generate suggestions, MIDI patterns, and parameter adjustments for your Ableton Live projects. You acknowledge and agree that:

  • AI-generated outputs are provided as suggestions only and are not guaranteed to be accurate, complete, or suitable for any particular purpose
  • You are solely responsible for reviewing, approving, and applying any AI-generated changes to your projects
  • You should save your Ableton Live project before applying AI-generated changes
  • We are not responsible for any unintended modifications, data loss, or damage to your projects resulting from AI-generated outputs
  • AI-generated content may occasionally produce results that are similar to existing copyrighted works; you are responsible for ensuring your use of AI-generated output does not infringe on third-party rights

7. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the software
  • Use the Service to violate any applicable laws or regulations
  • Share your account credentials with others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service in any way that could damage, disable, or impair it
  • Use the Service to generate content that is illegal, harmful, or infringes on third-party rights
  • Circumvent or attempt to circumvent any usage limits, subscription restrictions, or security measures

8. Ableton Live

Mozi integrates with Ableton Live through its MIDI Remote Script API. You must have a valid license for Ableton Live 11 or 12 (Suite or Standard edition) to use Mozi. Mozi is not affiliated with, endorsed by, or sponsored by Ableton AG. "Ableton" and "Ableton Live" are trademarks of Ableton AG.

9. Transaction Safety

Mozi uses a transaction system that allows you to preview and roll back changes to your Live Set. While we design this system to be reliable, we strongly recommend saving your Ableton Live project before applying any changes. We are not responsible for any unintended modifications to your projects. Use of the transaction and rollback features is at your own risk.

10. Subscription and Billing

Mozi offers free and paid subscription tiers. By subscribing to a paid plan, you agree to the following:

  • Recurring Charges: Paid subscriptions are billed on a recurring basis (monthly or annually) through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current rate until you cancel.
  • Free Trials: If we offer a free trial, you will be notified before the trial converts to a paid subscription. You may cancel before the trial ends to avoid charges.
  • Price Changes: We reserve the right to change pricing with at least 30 days' notice. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle.
  • Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at support@trymozi.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.
  • Refunds: Refunds are handled on a case-by-case basis. Contact us at support@trymozi.com for refund requests.
  • Usage Limits: Each subscription tier includes a monthly prompt allowance. Prompts do not roll over between billing periods. We will notify you as you approach your usage limit.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mozi and its owner(s), officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; or (e) any content you create, modify, or distribute using the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT. THE SERVICE IS CURRENTLY IN BETA AND MAY CONTAIN BUGS, ERRORS, OR INCOMPLETE FEATURES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOZI AND ITS OWNER(S) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR CREATIVE WORK, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Dispute Resolution and Arbitration

Informal Resolution: Before filing any formal proceeding, you agree to first contact us at support@trymozi.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in San Francisco, California. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

Opt-Out: You may opt out of this arbitration provision by sending written notice to support@trymozi.com within 30 days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration provision.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Subject to the arbitration provision above, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the City and County of San Francisco, California, and you consent to the personal jurisdiction of such courts.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on this page and updating the "Last updated" date. For significant changes, we will make reasonable efforts to notify you via email or through the desktop application. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
